Job summary

Cardinal Health seeks a Sr. Paralegal to join the corporate legal team, focusing on governance and entity management for international subsidiaries. You will coordinate governance activities, maintain records, and support cross-border transactions in a fast-paced global environment.

Qualifications

• At least 5 years of relevant experience in international corporate governance, entity management, and transactional support.
• BA, BS or equivalent in related field.
• Quick learner with excellent written, oral and presentation skills.
• Intermediate-to-Advanced MS Office, especially Word and Excel.
• Experience with legal entity management systems and governance databases.

Responsibilities

• Support governance, compliance and strategic transactions involving international subsidiaries.
• Draft/review/callboard governance docs: board/shareholder resolutions, minutes, consents, POAs, director/officer changes.
• Coordinate AGMs/board meetings with external reporting and finance teams.
• Maintain corporate records, minute books, governance databases, org charts.
• Coordinate annual maintenance including filings and regulatory registrations.
• Manage KYC/UBO/audit requests with banks, auditors, and regulators.
• Support international corporate transactions and restructurings.
• Monitor governance obligations and implement corrective actions.
