Job summary

Cardinal Health is seeking a Sr. Paralegal to support governance, entity management, and cross-border transactions within its corporate legal team. The role coordinates international subsidiary governance, prepares board materials, and maintains corporate records across jurisdictions.

The position emphasizes collaboration with finance, tax, treasury, and compliance teams, and includes handling KYC/UBO requests and regulatory filings.

Qualifications

• 5+ years of experience in international corporate governance, entity management, and transactional support preferred.
• BA, BS or equivalent in related field.
• Must be quick learner with excellent written, oral, and presentation skills.
• MS Office skills, especially Word and Excel.
• Experience with legal entity management systems and governance databases preferred.

Responsibilities

• Partners with Accounting, Tax, Treasury, international Legal & Compliance, and external counsel to support governance and strategic transactions for international subsidiaries.
• Drafts, reviews, and coordinates governance documents: board/shareholder resolutions, minutes, consents, POAs, director/officer appointments.
• Coordinates AGMs and board meetings, and governance activities with external reporting and finance teams.
• Maintains corporate records, minute books, governance databases, and entity management systems for international subsidiaries.
• Manages annual maintenance: reports, filings, registrations, and jurisdiction-specific compliance via providers and counsel.
• Handles KYC/UBO requests and provides corporate records to banks and regulators.
• Supports international corporate transactions: formations, mergers, restructurings, cash management, tax planning.
• Monitors governance obligations and develops corrective actions and best practices.
