Cardinal Health is seeking a Sr. Paralegal to join the corporate legal team, focusing on governance, entity management, and cross-border transactions.

You will coordinate governance activities for international subsidiaries and collaborate with Finance, Tax, Treasury, Legal, and Compliance to support strategic initiatives. The role requires strong experience in international corporate governance, excellent communication, and proficiency in MS Word/Excel.

Formación

• 5+ years of experience in international corporate governance, entity management, and transactional support preferred
• BA, BS or equivalent in related field
• Strong written, oral, and presentation skills
• MS Word and Excel proficiency, intermediate-to-advanced
• Experience with legal entity management systems and governance databases preferred

Responsabilidades

• Coordinate governance and entity management activities for Cardinal Health’s international subsidiaries
• Draft, review, and coordinate governance documentation (board resolutions, minutes, consents, powers of attorney)
• Coordinate AGMs and board meetings with external reporting and finance teams
• Maintain corporate records, minute books, governance databases, and entity management systems
• Coordinate annual maintenance, filings, registrations and compliance with local providers and counsel
• Manage KYC, UBO, and audit requests by collecting and providing corporate records
• Support international corporate transactions (formations, restructurings, mergers, cash management)
• Monitor governance obligations and identify compliance risks and corrective actions
