Cardinal Health is seeking a Senior Paralegal to support international governance, entity management, and cross-border transactions within the corporate legal team. You will coordinate governance activities, maintain records, and collaborate with finance, tax, treasury, and compliance groups to drive strategic initiatives.

The role requires deep experience in governance and transactional support, strong communication skills, and proficiency with MS Word/Excel.

Competenze

• At least 5 years of relevant experience in international corporate governance and entity management.
• BA, BS or equivalent in related field.
• Excellent written, oral, and presentation skills.
• Intermediate-to-Advanced MS Word and Excel.
• Experience with legal entity management systems and governance databases preferred.

Mansioni

• Coordinate governance and entity management for Cardinal Health’s international subsidiaries.
• Draft and coordinate board/shareholder resolutions, minutes, consents, and director/officer appointments.
• Coordinate AGMs, board meetings, and statutory financial statement approvals with internal and external teams.
• Maintain corporate records and governance databases across international entities.
• Oversee annual corporate maintenance, filings, and regulatory registrations through local providers and counsel.
• Manage KYC/UBO and audit requests with banks, auditors, and regulators.
• Support international corporate transactions including formations, mergers, restructurings, and cross-border planning.
• Monitor governance obligations and implement corrective actions.
