Cardinal Health is seeking a Sr. Paralegal to support international corporate governance, entity management, and cross-border transactions as part of the corporate legal team.

You will coordinate governance activities, maintain records, and collaborate with finance, tax, treasury, legal, and compliance. The role requires 5+ years, a BA/BS, strong communication and MS Office skills; familiarity with entity management systems and governance databases.

Qualifications

• 5+ years of international governance, entity management, and transactional support preferred.
• BA, BS or equivalent in related field.
• Excellent written, oral and presentation skills required.
• MS Word and Excel at an intermediate-to-advanced level.
• Experience with governance databases and entity management systems preferred.

Responsibilities

• Partner with Accounting, Tax, Treasury, international Legal & Compliance, and external counsel to support governance and strategic transactions involving international subsidiaries.
• Draft, review and coordinate governance documentation: board/shareholder resolutions, minutes, consents, powers of attorney, director/officer appointments and resignations.
• Coordinate AGMs and board meetings, statutory financial statement approvals, and related governance activities with external reporting and finance teams.
• Maintain corporate records, minute books, governance databases, and entity management systems for international subsidiaries.
• Coordinate annual maintenance: reports, filings, regulatory registrations, and jurisdiction-specific compliance via local providers and counsel.
• Manage KYC/UBO/audit requests by assembling corporate records for banks, auditors, and regulators.
• Support international corporate transactions: formations, liquidations, mergers, restructurings, cash management, tax planning.
• Monitor governance obligations and implement corrective actions and best practices.
