Cardinal Health seeks a Sr. Paralegal to support international governance and entity management for its global subsidiaries. You will collaborate with Finance, Tax, Treasury, and Compliance to manage governance records, AGMs, and corporate transactions.

The role requires strong writing, communication and MS Office skills, plus experience with entity management systems. It offers a comprehensive benefits package and a competitive salary range.

Formación

• Minimum 5 years in international corporate governance and entity management.
• BA/BS or equivalent in a related field.
• Strong written, oral and presentation skills; fast learner.
• Experience with governance databases preferred.

Responsabilidades

• Coordinate governance and entity management for Cardinal Health’s international subsidiaries.
• Draft and coordinate board/shareholder resolutions, minutes, consents, appointments, and approvals.
• Coordinate AGMs and board meetings with external reporting and finance teams.
• Maintain corporate records, minute books, governance databases, and org charts.
• Oversee annual maintenance: filings, registrations, and jurisdictional compliance via local providers.
• Manage KYC/UBO and audit requests with banks, auditors, and regulators.
• Assist international corporate transactions and restructurings, tax planning and cross-border projects.
• Monitor obligations and drive corrective actions and governance best practices.
