Job summary

Cardinal Health is seeking a Senior Paralegal to support governance and entity management for its international subsidiaries. You will draft and coordinate board materials, maintain governance records, and work with internal teams to support cross-border transactions and regulatory compliance.

The role requires strong communication skills, 5+ years in international governance, and experience with entity management systems.

Qualifications

• 5+ years of relevant experience in international corporate governance, entity management, and transactional support preferred.
• BA, BS or equivalent in related field.
• Strong written, oral and presentation skills.
• MS Office suite, particularly Word and Excel.
• Experience with legal entity management systems and governance databases preferred.

Responsibilities

• Coordinate and manage governance and entity management for Cardinal Health's international subsidiaries.
• Draft, review, and coordinate governance docs including board/shareholder resolutions and minutes.
• Coordinate AGMs, board meetings and related governance activities with external reporting and finance teams.
• Maintain corporate records, minute books, governance databases, and entity management systems.
• Oversee annual corporate maintenance, regulatory filings and jurisdiction-specific compliance with local providers and counsel.
• Manage KYC, UBO, and audit requests by collecting and providing records to banks, auditors, and regulators.
• Support international corporate transactions including formations, mergers, restructurings, and cross-border tax planning.
• Monitor governance obligations and implement corrective actions and best practices.
