Job summary

Cencora, Inc. in the United States seeks an experienced Corporate/M&A attorney to provide business-oriented legal advice across the company's global transactions.

This role requires leading high-stakes deals from inception through closing, with strong collaboration across Corporate Development, Finance, Tax and Compliance teams. You will draft and negotiate definitive agreements, manage outside counsel, and guide teams through due diligence, regulatory considerations, and integration efforts to

Qualifications

• Minimum 4–8 years of experience as a lawyer with corporate/M&A focus.
• Experience handling domestic and international transactions including acquisitions and divestitures.
• Experience drafting NDAs, LOIs/term sheets, and definitive agreements.
• Experience leading due diligence and coordinating with cross-functional teams.
• Ability to manage outside counsel and control legal spend.

Responsibilities

• Provide practical, business-oriented legal advice on significant transactions across Cencora's global organization.
• Independently manage domestic and international M&A and other strategic transactions from inception through closing and post-closing integration.
• Draft and negotiate confidentiality agreements, letters of intent, term sheets and definitive transaction documents.
• Lead legal due diligence and translate findings into protections.
• Partner with Corporate Development, Strategy, Finance, Tax, Treasury, Compliance, HR and IT throughout the deal lifecycle.
• Manage multiple transactions and workstreams with strong project-management skills.
• Leverage outside counsel while maintaining ownership and controlling spend.
• Provide pragmatic, risk-calibrated recommendations aligned with legal requirements and business objectives.
• Demonstrate strong drafting, negotiation, communication and interpersonal skills with senior leaders and counterparties.
• Lead negotiations and operate in complex, ambiguous environments with changing priorities.
• Knowledge of corporate law and regulatory considerations including antitrust and approvals.
• Develop and use M&A templates and playbooks to improve efficiency.
• Maintain enterprise-level perspective with strong organization and attention to detail.
