Overview

• Manatt’s Digital & Technology Transactions group advises clients across the technology, entertainment, consumer technology, consumer electronics, digital health, fin-tech, and other evolving industries.
• The role involves drafting and negotiating a wide range of technology and commercial agreements, including software development and licensing, SaaS, reseller, hardware, and systems implementation agreements.
• Responsibilities include advising clients on emerging technologies and evolving business models, covering the implementation and use of software, AI systems, agents, and tools.
• The associate will counsel clients on the protection, licensing, and commercialization of intellectual property and related rights, and support matters involving e-commerce, monetization, and content/software distribution.
• Collaboration with Manatt’s venture capital and M&A practices is integral for the technology and intellectual property aspects of corporate transactions.
• Candidates should have substantive transactional experience with a focus on technology-related matters, both in M&A contexts and stand-alone commercial agreements.
• Preferred experience includes advertising/ad tech, health-tech, fin-tech, digital media, content licensing, or traditional advertising; advising clients on emerging issues for AI systems, software, or governance is a plus.
• The position requires working directly with clients, managing transactional matters independently, and developing practical, commercially focused solutions aligned with business objectives.
