Job description

ABOUT THE ROLE

A sophisticated New York corporate practice is seeking a mid-level associate to work on M&A and broader transactional matters for private companies, investors, founders, and established businesses. The role is built for an attorney who wants high-quality deal experience while developing beyond a narrow execution role. Associates work directly with partners and clients, take meaningful ownership of transactions, and gain exposure across the full deal lifecycle. Compensation ranges from $225,000-$365,000, depending on experience. For an associate looking for sophisticated transactions with greater responsibility and client access, this offers a compelling next step.

WHAT YOU'LL DO

  • Represent buyers, sellers, investors, and companies in mergers, acquisitions, dispositions, and other strategic transactions

  • Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents

  • Manage transactions from initial diligence and structuring through signing, closing, and post-closing matters

  • Coordinate due diligence and work directly with clients, opposing counsel, and specialists across relevant practice areas

  • Advise private companies on corporate governance, commercial arrangements, financings, and general corporate matters

  • Take increasing responsibility for transaction management and direct client communication as your experience grows

WHAT WE'RE LOOKING FOR

  • J.D. from an accredited law school and admission to the New York Bar

  • 3–6 years of corporate transactional experience at a law firm

  • Meaningful experience with private M&A transactions

  • Strong drafting, negotiation, analytical, and transaction-management skills

  • Experience working directly with clients and managing significant portions of transactions preferred

  • Ability to handle multiple sophisticated matters while maintaining strong attention to detail

WHAT WE OFFER

A platform for corporate attorneys who want to become complete deal lawyers rather than remain one piece of a large transaction team. The role combines $225,000-$365,000 in annual compensation with hybrid flexibility, sophisticated M&A work, direct partner mentorship, meaningful client exposure, and earlier ownership of transactions. Strong associates will have room to deepen their technical skills while building the judgment and relationships required to lead deals independently.
