Job summary

Lockridge Partners in Los Angeles seeks a mid-level associate to advise on M&A and strategic transactions for companies, founders, investors, and PE clients. You will handle structuring, drafting, and negotiations, taking meaningful responsibility across deals and coordinating with clients and advisors.

Qualifications

  • J.D. from an accredited law school and admission to the California Bar.
  • 3–7 years of corporate transactional experience at a law firm.
  • Meaningful experience with M&A or other sophisticated corporate transactions.
  • Strong drafting, negotiation, analytical, and transaction-management skills.
  • Private equity, emerging company, venture capital, or other strategic transactional experience is a plus.
  • Ability to manage multiple transactions while communicating effectively with clients and senior attorneys.

Responsibilities

  • Represent buyers, sellers, investors, companies, and other clients in mergers, acquisitions, dispositions, investments, and strategic transactions.
  • Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents.
  • Manage transactions from initial structuring and due diligence through signing, closing, and post-closing matters.
  • Coordinate transaction execution with clients, opposing counsel, specialists, accountants, and other advisors.
  • Advise companies on corporate governance, commercial arrangements, financings, and other general corporate matters.
  • Take increasing responsibility for negotiations, deal management, and direct client relationships.

ABOUT THE ROLE

A sophisticated Los Angeles corporate practice is seeking a mid-level associate to advise companies, founders, investors, and private equity clients on M&A and broader strategic transactions. The work spans acquisitions, dispositions, investments, financings, and ongoing corporate matters, with associates taking meaningful responsibility for transactions rather than remaining confined to diligence or isolated drafting assignments. You will work directly with partners and clients, manage significant portions of deals, and develop the commercial judgment required to eventually lead transactions independently. Compensation ranges from $225,000-$375,000, depending on experience.

WHAT YOU'LL DO
