Orionplacement is seeking a highly skilled corporate M&A attorney to draft and negotiate a broad range of transaction documents and manage complex mergers and acquisitions. The ideal candidate will have a JD, NY admission, and approximately 2+ years of significant corporate M&A experience, with strong drafting and analytical abilities.

• Admitted to practice law in New York.
• Approximately 2+ years of significant corporate M&A experience.
• Law school graduation approximately between 2019 and 2021.
• Strong drafting, negotiation, analytical, and communication skills.
• Stable employment history with reputable law firms strongly preferred.
• Ability to manage multiple complex transactions while maintaining exceptional attention to detail.

Responsibilities

• Draft and negotiate a broad range of M&A transaction documents, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and related documents.
• Manage key aspects of sophisticated mergers, acquisitions, and corporate transactions.
• Analyze corporate and transactional legal issues while providing practical business-oriented advice.
• Conduct legal research related to corporate M&A matters as needed.
• Collaborate closely with partners, clients, opposing counsel, and internal teams throughout transactions.
• Prepare resolutions, certificates, side letters, and ancillary transaction documents.
• Maintain exceptional client service while managing multiple priorities in a fast-paced environment.

Location
