Qualifications

  • J.D. from an accredited law school
  • Admission to the California Bar
  • 3–6 years of corporate transactional experience
  • Meaningful experience with M&A or other sophisticated corporate transactions
  • Strong drafting, negotiation, analytical, and transaction-management skills
  • Experience representing technology companies, growth companies, investors, or founders is a plus
  • Ability to manage multiple transactions while communicating effectively with clients and senior attorneys

Responsibilities

  • Represent buyers, sellers, investors, and companies in mergers, acquisitions, dispositions, investments, and other strategic transactions
  • Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents
  • Manage significant portions of transactions from initial structuring and diligence through signing, closing, and post-closing matters
  • Coordinate due diligence and transaction execution across clients, opposing counsel, specialists, and other advisors
  • Advise companies and founders on corporate governance, commercial arrangements, financings, and other general corporate matters
  • Take increasing responsibility for negotiations, transaction management, and direct client relationships

ABOUT THE ROLE

A sophisticated San Francisco corporate practice is seeking a mid-level associate to advise technology companies, founders, investors, and established businesses on M&A and broader strategic transactions. The role offers exposure to acquisitions, dispositions, investments, financings, and ongoing corporate matters while giving associates meaningful responsibility for managing transactions and working directly with clients. This is particularly well suited to an attorney who wants to maintain sophisticated deal flow while developing broader client relationships and greater ownership of transactions. Compensation ranges from $235,000-$390,000, depending on experience.

WHAT YOU'LL DO
  • Represent buyers, sellers, investors, and companies in mergers, acquisitions, dispositions, investments, and other strategic transactions
  • Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents
  • Manage significant portions of transactions from initial structuring and diligence through signing, closing, and post-closing matters
