Job summary

Orion Placement in New York seeks an experienced corporate M&A associate to draft and negotiate a broad range of transaction documents and manage complex deals with senior partners.

Hybrid in NYC, three days in the office and flexibility to work remotely the rest of the week. Requires NY Bar admission, ~2+ years of M&A experience, and law school graduation between 2019 and 2021.

• Approximately 2+ years of significant corporate M&A experience.
• Law school graduation approximately between 2019 and 2021.
• Strong drafting, negotiation, analytical, and communication skills.

Responsibilities

• Draft and negotiate a broad range of M&A transaction documents, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and related documents.
• Manage key aspects of sophisticated mergers, acquisitions, and corporate transactions.
• Analyze corporate and transactional legal issues while providing practical business-oriented advice.
• Conduct legal research related to corporate M&A matters as needed.
• Collaborate closely with partners, clients, opposing counsel, and internal teams throughout transactions.
• Prepare resolutions, certificates, side letters, and ancillary transaction documents.
• Maintain exceptional client service while managing multiple priorities in a fast-paced environment.
