Qualifications

• Bachelor's degree with 2-3+ years of corporate governance or paralegal experience.
• Strong attention to detail and organizational skills in a fast-paced environment.
• Excellent written and verbal communication abilities.
• Proficiency in Microsoft Office and document management systems.
• Experience with Diligent/Blueprint, iManage, or similar platforms preferred.
• Willingness to travel periodically as needed.

Responsibilities

• Manage corporate records, entity databases, and legal document repositories, ensuring accurate governance and ownership tracking.
• Support the entity lifecycle: formations, qualifications, restructurings, dissolutions, EIN registrations, and filings.
• Prepare organizational documents, operating agreements, resolutions, loan documents, and tax forms.
• Coordinate KYC requests, bank account openings, fund administrator onboarding, and service provider relationships.
• Assist with securities filings, structure charts, D&O registers, annual compliance processes, and governance initiatives.

Education

Bachelor's degree with 2-3+ years of corporate governance, entity management, or paralegal experience
