Larson Maddox is seeking an experienced Corporate Governance Paralegal to join an in-house legal team in a hybrid role based in Miami, FL or Louisville, KY. The ideal candidate will manage corporate governance matters, maintain records, support board activities, and assist with a range of governance and compliance tasks.

Qualifications

• 5+ years of corporate governance, corporate paralegal, or entity management experience.
• Bachelor's degree and/or Paralegal Certificate.
• Strong experience supporting board meetings, corporate records, and governance documentation.

Responsabilités

• Maintain corporate records and minute books for domestic and international subsidiaries.
• Prepare board meeting materials: agendas, resolutions, minutes, and consents.
• Coordinate annual meetings, director/officer appointments, and governance filings.
• Manage entity formations, dissolutions, mergers, and qualifications across jurisdictions.
• Assist with corporate restructuring, acquisitions, and strategic transactions.
• Support SEC reporting and public company governance requirements, if applicable.
• Prepare and file state annual reports and track filing deadlines.
• Coordinate signatures, notarizations, and execution of corporate documents.
• Support legal operations and contract administration in governance matters.
• Collaborate with Finance, Tax, HR, Compliance, and Leadership on governance topics.
