Job summary

WhiteCap Search client, a private commercial services and security organization, seeks a skilled contracts professional to support its legal team in NYC. The role focuses on streamlining the contract management process and ensuring operational efficiency.

Based in the NYC office, you will draft, review, and negotiate service agreements, NDAs, and vendor contracts; maintain Ironclad CLM, develop workflows, and create standard templates.

Qualifications

• Proven experience in contract administration and lifecycle management.
• Strong drafting and negotiation skills.
• Knowledge of business law and contracting principles.
• Experience building or improving contract management processes.
• Experience with Ironclad or similar CLM systems.
• Excellent organizational and project management abilities.
• Discretion handling sensitive matters.

Responsibilities

• Draft, review, edit, and negotiate a diverse range of commercial contracts, including service agreements, NDAs, and vendor agreements.
• Collaborate with legal counsel to address legal issues related to agreements.
• Maintain and manage the contract management system, Ironclad, ensuring its efficiency and effectiveness.
• Develop and maintain contract workflows to facilitate efficient reviews across departments.
• Interpret and analyze contracts to ensure compliance with legal standards, insurance requirements, and company guidelines.
• Create and maintain standard contract templates and clause libraries, including fallback and alternative language options.
• Partner cross-functionally with Operations, Sales, HR, Finance, and Risk Management teams.
• Oversee the management of the company's contract repository.
• Assist with lease agreements, corporate registrations, and other corporate requirements.
• Coordinate aspects of legal operations in collaboration with General Counsel.
• Support broader legal and compliance initiatives as needed.
• Develop and deliver training related to contract review, negotiation, and enforcement.
