Job summary

REEF GROUP | مجموعة ريف is seeking an experienced Governance Manager to lead and strengthen the Group's corporate governance framework in Riyadh. You will ensure policies, authorities, and decision-making processes are clearly defined, implemented, and compliant with regulations.

Qualifications

• Bachelor's degree in Law, Business Administration, Finance, Accounting, Corporate Governance or equivalent.
• Master's degree or recognized professional qualification in Corporate Governance, Compliance, Risk or related discipline is an advantage.

Responsibilities

• Develop, implement, and enhance the Group's governance framework in line with regulations and requirements.
• Develop and maintain governance policies, charters, frameworks, and procedures across the Group.
• Review governance structures and improve roles, responsibilities, accountability, and decision-making processes.
• Develop and monitor the Delegation of Authority (DOA) framework with clearly defined authorities.
• Support Board and Board Committee governance, including charters and authorities.
• Coordinate with stakeholders to document, communicate, and monitor board decisions and actions.
• Monitor compliance with governance policies, authorities, and committee mandates.
• Identify governance gaps and risks and implement corrective actions and improvements.
• Support establishment of management committees with clear mandates and reporting mechanisms.
• Develop governance standards for subsidiaries and affiliated entities across the Group.
• Coordinate with Legal, Compliance, Risk, Internal Audit, Finance and other functions.
• Support regulatory and internal governance reviews and update governance documentation.
• Promote governance awareness and guidance across the organization.
• Develop governance performance indicators and monitor maturity and effectiveness.
• Prepare periodic governance reports, dashboards, and assessments for senior management.
