Job summary

Progressive, a leading energy sector organisation in Riyadh, seeks a Governance Director (Saudi Nationals only) to strengthen corporate governance, compliance, and accountability across the business. You will lead the DoA, policy development, and board advisory to ensure regulatory alignment.

The role demands 13+ years in governance within large energy/oil & gas in KSA, plus a Bachelor's in Law and relevant certifications. This position is based in Riyadh on-site.

Qualifications

• Saudi National with 13+ years in governance, compliance, or company secretarial functions
• Experience in large energy/oil & gas sectors within KSA
• Strong knowledge of governance frameworks, regulatory compliance, and risk management

Responsibilities

• Lead the development, implementation, and continuous improvement of the governance framework
• Ensure DoA and authority matrix align with business objectives and regulatory requirements
• Advise and support the Board and committees on governance, compliance, and fiduciary matters
• Develop, communicate, and maintain governance policies and procedures across the organisation
• Review and enhance internal policies, procedures, manuals, charters, and processes
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct

Key Responsibilities:

• Lead the development, implementation, and continuous improvement of the corporate governance framework.
• Ensure the Delegation of Authority (DoA) and authority matrix remain aligned with business objectives, regulatory requirements, and governance best practices.
• Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
• Develop, communicate, and maintain governance policies and procedures across the organisation.
• Review and enhance internal policies, procedures, manuals, charters, and processes to ensure alignment with governance standards and constitutional documents.
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Candidate Requirements:

• Must be Saudi National.
• Proven experience for 13+ years in corporate governance, board affairs, compliance, or company secretarial functions.
• Must have corporate governance experience for a large business operating within the energy or oil & gas sector in KSA.
• Strong understanding of governance frameworks, regulatory compliance, and risk management principles.

Qualifications Needed:

• Bachelor's degree in Law or related field.
• Master's Degree in Law or a relevant field is a plus.
• Professional certifications in Governance & Compliance (CCEP, GRC Professional Certification, CISA) are beneficial
