Job summary

Progressive GE is seeking a Governance Director to strengthen corporate governance, compliance, and accountability across the business. The role will lead the development and continuous improvement of the governance framework and support the Board and committees on fiduciary matters.

The ideal candidate has extensive experience in corporate governance within the energy, oil & gas, or power sectors, and holds a law degree with relevant governance certifications.

Qualifications

• Bachelor's degree in Law or related field is required.
• Master's degree in Law or a related field is a plus.
• Professional certifications in Governance & Compliance (CCEP, GRC) are beneficial.

Responsibilities

• Lead the development, implementation, and continual improvement of the corporate governance framework.
• Ensure the DoA and authority matrix align with objectives, regulatory requirements, and governance best practices.
• Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
• Develop, communicate, and maintain governance policies and procedures across the organisation.
• Review and enhance internal policies, manuals, charters, and processes to align with governance standards.
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Key Responsibilities

• Lead the development, implementation, and continuous improvement of the corporate governance framework.
• Ensure the Delegation of Authority (DoA) and authority matrix remain aligned with business objectives, regulatory requirements, and governance best practices.
• Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
• Develop, communicate, and maintain governance policies and procedures across the organisation.
• Review and enhance internal policies, procedures, manuals, charters, and processes to ensure alignment with governance standards and constitutional documents.
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Candidate Requirements

• Must be Saudi National.
• Proven experience for 13+ years in corporate governance, board affairs, compliance, or company secretarial functions.
• Must have corporate governance experience for a large business operating within the energy or oil & gas sector in KSA.
• Strong understanding of governance frameworks, regulatory compliance, and risk management principles.
