Job summary

Saudi Aramco seeks an experienced Senior Counsel to lead the Joint Venture Development Legal Practice within the Project Development & Finance Law Department in Saudi Arabia. The role focuses on structuring, negotiating, and documenting JV transactions and related financing, drawing on global energy expertise.

You will advise management and internal clients, coordinate with outside counsel, and ensure compliance with international deal principles.

Qualifications

  • Juris Doctorate degree or equivalent.
  • Admission to general practice before the highest court of your country of citizenship/residence.
  • Minimum of 7 years of experience in a project development practice.
  • Experience with international transactions and joint venture transactions.
  • Hands-on structuring, drafting, negotiating and leading transactions (first/second chair).

Responsibilities

  • Lead the legal activities with respect to the negotiation and execution of financing transactions in all contexts, including parent company debt, JV project financings, and capital market issuances.
  • Advise Management and internal clients on legal rights and obligations in financing contexts.

Overview

We are seeking an experienced attorney (Counsel) to join the Joint Venture Development Legal Practice in the Project Development & Finance Law Department of the Saudi Aramco Law Organization.

The Joint Venture Development Legal Practice within the Law Organization is responsible for, among other matters, advising on, negotiating, and documenting Saudi Aramco’s project development and joint venture transactions.

As a Senior Counsel, your primary role is to lead the legal activities with respect to the development and implementation of Joint Ventures, including the structuring, negotiation, and documentation of such transactions.

Key Responsibilities
  • Lead the legal activities with respect to the negotiation and execution of financing transactions in all contexts. Including for parent company bank debt, joint venture project financings, and/or capital markets issuances, among others, including the structuring, negotiation, and documentation of such transactions.
  • Advise Management and internal clients with respect to Saudi Aramco’s legal rights and obligations, agreements, and common statutory or similar requirements in connection with financing transactions.
  • Assist Law Management and other attorneys in identifying and examining the law and facts pertinent to legal problems.
  • Liaise and work with outside counsel to negotiate and document transactions.
Minimum Requirements
  • A Juris Doctorate degree or equivalent.
  • Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
  • A minimum of 7 years of experience in a project development practice.
  • Experience comprised of a combination of law firm and in-house experience in a corporation handling handling international project development and joint venture transactions.
  • Demonstrable experience working directly with the clients from transaction inception to completion.
  • Hands-on experience with structuring, drafting, negotiating, and leading transactions in a first or second chair capacity.
  • Experience with international transactions principles.
  • Experience in the oil and gas, refining, chemicals, power or other energy-related industries (including renewable energy and new energies)
