Job summary

Saudi Post (Subul) in Riyadh seeks an experienced Director of Corporate Governance for subsidiary companies to lead governance systems, monitor implementation, and represent the organization at general assemblies.

The role focuses on reviewing corporate documents, approving amendments to articles and bylaws, updating governance regulations, storing records, and ensuring regulatory compliance across subsidiaries.

Responsibilities

• Developing and updating corporate governance systems for subsidiary companies and monitoring their implementation.
• Representing the organization at the general assemblies of partners and general assemblies.
• Reviewing documents for general assembly and board meetings.
• Review and approve the proposed amendments to the articles of incorporation and bylaws of subsidiary companies.
• Review and update the regulations relating to governance and the board of directors in accordance with regulatory requirements and best practices.
• Developing a mechanism for storing and updating documents related to subsidiary companies.
• Continuously monitor and update the matrix of authorities in subsidiary companies.
• Creating and developing corporate governance performance reports to assist in decision-making that aligns with strategic objectives.
• Monitoring companies' compliance with regulatory requirements and enforcing and following up on amendments with relevant authorities to ensure compliance with regulatory requirements.
