Saudi Holding Group in Riyadh seeks a Governance & Compliance Manager to develop and implement governance and compliance frameworks across the holding and its subsidiaries. You will strengthen accountability, transparency, and delegation of authority while embedding governance in day-to-day operations.

The ideal candidate will drive implementation, identify gaps, monitor corrective actions, and ensure governance requirements are embedded across the organization.

Competenze

• Bachelor's degree in Law, Business Administration, Accounting, or a related field.
• 15+ years of relevant professional experience preferred.
• Good knowledge of the Saudi corporate and regulatory environment.
• Experience across Corporate Governance, Compliance, Board Governance, Policies & Procedures, Risk Management, and Internal Controls.
• Holding company or diversified group experience preferred.
• Strong ability to develop governance frameworks and ensure practical implementation.

Mansioni

• Develop, implement and continuously enhance the Group's corporate governance framework.
• Develop, maintain Group policies, regulations, governance manuals, and related procedures.
• Develop, administer and monitor the Group's DoA (Delegation of Authority) framework.
• Track Board and executive decisions and ensure timely follow-up and closure of actions.
• Support the Board and its committees.
• Maintain the Group’s compliance register including licenses, permits, and renewals.
• Monitor compliance issues, violations, and corrective actions across the Group.
• Develop and maintain the Group’s key risk register and coordinate risk reporting.
• Coordinate contracts, legal matters, and disputes with external advisers as needed.
• Assist in documenting internal controls with Finance and other functions.
• Support establishment of Internal Audit function and coordination with external auditors.
• Prepare periodic governance, compliance and risk reports for CEO and Board.
