Newport World Resorts is seeking a qualified lawyer to provide comprehensive legal services to the company. Qualifications

  • Law degree holder and member of the Integrated Bar of the Philippines.
  • Two to three years of relevant legal experience.

Responsibilities

  • Assist in ensuring compliance with all relevant laws and company obligations arising from contracts.
  • Assist in timely reporting and regulatory compliance with the SEC, PSE and IPO.
  • Prepare letters and/or correspondences to government and other entities.
  • Maintain corporate books and records in order.
  • Document resolutions passed by stockholders, the board of directors, or board committees.
  • Assist in recommending legal strategy, policy, and course of action in corporate law, sales, contracts, and property.
  • Handle special projects and implement assigned tasks by the Chief Legal and Admin Officer and Director for Legal Services.
  • Ensure that the company’s rights, interests & obligations based on contracts are properly documented.
  • Draft and/or review contracts or agreements to capture all legal commitments and avoid breaches.
  • Draft templates of contracts, forms, letters, amendments and addendums for use by business units.
  • Render well-researched legal opinions supported by law and jurisprudence.
  • Conduct timely legal research and keep management informed of developments.
  • Attend skills and knowledge improvement training to upskill and expand capabilities.
  • Perform other duties as assigned by the Chief Legal and Admin Officer.
  • Performance management: develop strategies to help direct reports meet goals.
  • Coaching and mentoring: guide direct reports in their responsibilities.
  • Employee engagement: promote engagement and commitment.

JOB SUMMARY

Generally responsible in providing legal services to the Company. Duties include contract preparation, compliance with reportorial and application requirements with different government agencies, such as, SEC, IPO, PSE, special projects as may be assigned by the Chief Legal and Admin Officer and Director for Legal Services and rendering of legal opinion and performance of tasks required for the Company’s Special Projects.

RESPONSIBILITIES
Legal Compliance
  • Assist the Chief Legal and Admin Officer and Director for Legal Services in ensuring compliance with all relevant laws and company obligations arising from contracts.

  • Assist the Chief Legal and Admin Officer and Director for Legal Services in ensuring compliance of the Company and its subsidiaries with all reportorial and regulatory requirements of the SEC, PSE and IPO in a timely manner.

  • Assist the Chief Legal and Admin Officer and Director for Legal Services in the preparation of letters and/or correspondences to government and other entities.

  • Assist the Chief Legal and Admin Officer and Director for Legal Services to keep corporate books and records of the Company in order.

  • Assist the Chief Legal and Admin Officer and Director for Legal Services to document resolutions passed by stockholders, the board of directors or the board committee of the Company and its subsidiaries.

Legal Strategy and Special Projects:
  • Assist the Chief Legal and Admin Officer and Director for Legal Services in recommending legal strategy, policy, and course of action in the following areas: corporate law, sales, contracts, property, among others.

  • Assist the Chief Legal and Admin Officer and Director for Legal Services in handling special projects and perform all other related duties to implement the special projects as may be assigned by the Chief Legal and Admin Officer and Director for Legal Services from time to time.

Contracts:
  • Assist the Chief Legal and Admin Officer and Director for Legal Services in ensuring that the company’s rights, interests & obligations based on contract are properly documented.

  • Draft and/or review company contracts or agreements, making sure that the same shall incorporate all legal and contractual commitments and obligations of the company to ensure that the latter is not put in breach or technical default, and recommend the same for approval of the Chief Legal and Admin Officer and Director for Legal Services.

  • Draft templates of contracts, forms, letters, amendments and addendums and such other documents to be used by different business units of the Company incorporating all protective clauses to ensure that the company’s rights, interests & obligations based on contract are properly documented.

Legal Opinion:
  • Render legal opinion as requested that is well researched and written, properly supported by law and jurisprudence.

Legal Update:
  • Conduct continuing legal research which is timely made.

  • Apprise management and staff on new relevant legal and jurisprudential developments most likely to affect the operations of the company.

  • To attend appropriate skills & knowledge improvement training to upskill and expand capabilities for stronger job performance.

  • Perform all other related duties as may be assigned by the Chief Legal and Admin Officer from time to time.

People Management:
  • Performance Management: Come up with strategies that will help direct reports achieve their performance goals and drive high performance. This also includes conducting performance planning, goal setting, and evaluations.

  • Coaching and Mentoring: Provides guidance to direct reports in performing their areas of responsibility and supports their growth and development.

  • Employee Engagement: Implement initiatives and provide a work environment that will promote employee engagement and high commitment to the company.

QUALIFICATIONS
  • Law degree holder and member of the Integrated Bar of the Philippines

  • Two (2) to three (3) years of relevant legal experience
