The team conducts regulatory filings with IC, SEC, AMLC, DOLE, and DENR, while handling corporate secretarial tasks and contract management to protect corporate interests and ensure smooth business operations.
Provides necessary legal services such as legal advice/opinions, corporate legal documentation, legal representation in legal cases and legal compliance work with the objective of ensuring legal compliance of all contracts and business transactions of the Organization and to preclude or minimize any legal action against the Organization, or in the event of a legal action, to ensure that the legal position of the Organization is secured or has a favorable advantage.
Conducts research of prevailing and applicable laws, rules and regulations pertaining to regulatory compliances, assists in the periodic preparation, files/submits mandatory legal and corporate requirements compliances of government agencies such as but not limited to the Insurance Commission (IC), Securities and Exchange Commission (SEC), Anti-Money Laundering Council (AMLC), Department of Labor and Employment (DOLE), Department of Environmental and Natural Resources (DENR) and other government regulatory agencies in order to ensure that the Company's full compliance with all legal and regulatory compliances and requirements with the objective to protect the Company’s interests or legal position, prevent violations and to prevent or minimize the Company’s liability or risk exposure.
Prepares and handles basic to mid-level corporate legal work on corporate and business issues and transactions including submissions to the SEC (i.e. increase in authorized capital stock, etc.) and Corporate Secretarial work, gives advice/opinions and conducts research on corporate legal work matters in order to effectively protect the Company’s corporate aspects and interests and legal position and to prevent or minimize the Company’s liability or risk exposure.
Assists in basic to mid-level advice/opinions, data gathering, negotiation, preparation, formulation, revision, updating and management of contracts and other documents for the business operations and business necessities and assets and services of the Company, in order to effectively protect the Company’s interests, assets, services, business transactions, and legal position and to prevent or minimize the Company’s liability or risk exposure, and includes the necessary filing, safekeeping and digitization of legal files, and corporate housekeeping in order to effectively manage and organize the volume of legal files, records and documents.
Attends low-level to mid-level hearings, meetings, legal proceedings, negotiates, strategizes, consults, reports and manages all the legal cases being handled by him and prepares all the legal pleadings, position papers, appeals, petitions to be submitted to the judicial, quasi-judicial and administrative bodies, gives advice/opinions and conducts research in order to effectively enforce and protect the Company’s interests or legal position and to prevent or minimize the Company’s liability or risk exposure.
Investigates, gives advice/opinions, researches, collects data, verifies, evaluates and prepares the administrative disciplinary notices to the employees (up to Supervisory level) with administrative violations/findings; handles the documentation of employee’s benefits, quitclaims, waivers and also employment related contracts (up to Supervisory level) in order to protect the Company’s interests or legal position in labor matters, maintain stability in human resources and labor-management relations and to prevent or minimize the Company’s liability or risk exposure and to assist in all legal-related aspects of human resources in business operations.
Participates, collaborates and assists in creating, adapting and implementing internal project management programs, processes and systems in the Legal Division in order to provide more effective and efficient legal services to the Company while observing confidentiality.
Manage risk in accordance with the company’s Risk Management Framework and related policies – including timely reporting of operational loss incidents and active participation in the company’s risk management activities.
