JOB SUMMARY

The Senior Lawyer provides strategic legal advice and guidance to the organization on a broad range of legal, regulatory, corporate, commercial, labor, and compliance matters. The role is responsible for managing legal risks, reviewing and negotiating contracts, handling disputes, ensuring regulatory compliance, and supporting business initiatives. The position requires extensive legal experience across multiple practice areas and industries, with the ability to provide practical and business-oriented legal solutions.

KEY FUNCTIONS

1. Provides legal advice and counsel on corporate, commercial, labor, regulatory, compliance, and operational matters.
2. Reviews, drafts, negotiates, and manages contracts, agreements, and legal documents to protect the interests of the company.
3. Identifies legal risks and develops strategies to mitigate potential exposure and liabilities.
4. Represents the company in legal proceedings, negotiations, administrative hearings, and dispute resolution activities, as required.
5. Advises management and business teams on legal implications of business decisions, projects, and strategic initiatives.
6. Ensures compliance with applicable laws, regulations, government requirements, and company policies.
7. Coordinates with external legal counsel, government agencies, regulators, and other stakeholders on legal matters.
8. Conducts legal research and provides legal opinions on complex issues affecting the organization.
9. Supports corporate governance activities, including board resolutions, corporate filings, licenses, and permits.
10. Develops and implements legal policies, procedures, and compliance programs to strengthen risk management practices.

OPERATIONAL

1. Monitors changes in laws, regulations, and industry developments that may impact the organization.
2. Maintains legal records, contracts, litigation files, and corporate documents.
3. Prepares legal reports, case updates, and recommendations for management.
4. Assists in managing litigation, labor cases, claims, and regulatory matters.
5. Supports mergers, acquisitions, business expansion projects, and other corporate transactions, when applicable.

OTHER RESPONSIBILITIES

1. Performs other legal and compliance-related duties that may be assigned from time to time.
2. Protects and upholds the interests, reputation, and assets of the company at all times.
3. Maintains the highest standards of professionalism, integrity, and confidentiality in handling legal matters.

EDUCATION / EXPERIENCE

Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree and a member in good standing of the Philippine Bar.

At least 5–10 years of post-qualification legal experience, preferably gained from a reputable law firm and/or corporate legal environment.

Demonstrated experience handling multiple areas of law, including corporate, commercial, labor, contracts, compliance, litigation, and regulatory matters.

Experience advising clients across various industries such as retail, technology, consumer goods, real estate, financial services, manufacturing, or other commercial sectors is highly preferred.

Strong experience in contract negotiation, dispute resolution, legal risk management, and regulatory compliance.

SPECIALIZATION / TECHNICAL SKILLS

Strong knowledge of Philippine corporate, labor, commercial, civil, and regulatory laws.

Proficient in legal drafting, contract review, legal research, and legal risk assessment.
