Job Summary
The Assistant Legal Manager will support the Legal Department in ensuring the company’s compliance with all applicable laws and regulations in the Philippines. This role involves contract management, regulatory compliance, and risk assessment. The Assistant Legal Manager will also assist in litigation management, corporate governance, and policy development. Additionally, the Assistant Legal Manager will serve as the Assistant Corporate Secretary in the absence of the Corporate Secretary.
Key Responsibilities
- Assist the Legal Manager in drafting, reviewing, and negotiating contracts, agreements, and other legal documents to protect the company’s interests.
- Ensure compliance with local laws, government regulations, and company policies.
- Support the handling of litigation, arbitration, and other dispute resolution processes in coordination with external counsel.
- Conduct legal research and analysis on various legal issues affecting the company’s operations.
- Maintain corporate records, regulatory filings, and other legal documentation.
- Coordinate and comply with government agencies, regulators, and external stakeholders as necessary.
- Monitor changes in laws and regulations that may impact the business and recommend necessary actions.
- Act as the Assistant Corporate Secretary in the absence of the Corporate Secretary, ensuring compliance with corporate governance requirements.
Qualifications and Requirements
- Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree (graduate preferred)
- At least 2–4 years of relevant experience in corporate law, contract management, or regulatory compliance, preferably in a corporate or law firm setting
- Strong knowledge of Philippine corporate, labor, and commercial laws
- Experience in dealing with government agencies such as the Securities and Exchange Commission (SEC), Bureau of Internal Revenue (BIR), Department of Health (DOH), and Philippine Health Insurance Corporation (PhilHealth)
- Excellent drafting, negotiation, and communication skills
- Strong analytical and problem-solving abilities
- Ability to work independently and collaboratively in a fast-paced environment
- High level of integrity, professionalism, and attention to detail
