Qualifications

  • Requires 2–3 years of post-bar experience in corporate law.
  • Strong knowledge of the Revised Corporation Code, Data Privacy Act, and Philippine labor laws.
  • Experience drafting and negotiating commercial contracts; board resolutions; GIS/AFS filings.

Responsibilities

  • Draft, review, and negotiate commercial contracts including NDAs.
  • Prepare board resolutions, secretary's certificates, minutes; manage GIS/AFS filings.
  • Monitor compliance with SEC, BIR, DOLE, NPC.
  • Assist in due diligence, corporate restructuring, joint ventures, or M&A activities as needed.
  • Advise on corporate risks, data privacy, and labor & commercial laws.
  • Liaise with external counsel and government agencies for filings and permits.

Job description

About the role

We are seeking an agile and detail-oriented Corporate Lawyer with 2 to 3 years of post-admission experience in corporate law, commercial transactions, and regulatory compliance in the Philippines. In this role, you will advise on corporate governance, draft and negotiate commercial agreements, and ensure the company remains fully compliant with the Securities and Exchange Commission (SEC), BIR, and other regulatory bodies.

Key responsibilities
  • Draft, review, and negotiate commercial contracts, including service agreements, lease contracts, vendor agreements, and non-disclosure agreements (NDAs)
  • Prepare board resolutions, secretary's certificates, minutes of meetings, and manage annual SEC filings (e.g., General Information Sheet / GIS, Audited Financial Statements / AFS)
  • Monitor and ensure compliance with Philippine regulatory agencies, including the SEC, Bureau of Internal Revenue (BIR), Department of Labor and Employment (DOLE), and National Privacy Commission (NPC)
  • Assist in due diligence processes, corporate restructuring, joint ventures, or merger & acquisition (M&A) activities as needed
  • Provide sound, business-oriented advice to internal business units on corporate risks, data privacy compliance, and general Philippine labor and commercial laws
  • Liaise with external counsel, government agencies, and corporate secretarial service providers for corporate filings, permits, and special licensing
About you
  • Juris Doctor (J.D.) OR Bachelor of Laws (LL.B.) degree
  • 2 to 3 years of post-bar experience in corporate law
  • Solid knowledge of the Revised Corporation Code, Data Privacy Act of 2012, Philippine labor laws, and SEC/BIR regulations
  • Strong legal drafting, analytical, and negotiation skills
  • Excellent written and verbal communication skills in both English and Filipino
  • Ability to balance legal risks with commercial objectives in a fast-paced environment
  • Member of the Integrated Bar of the Philippines (IBP) in good standing (Preferred)
  • Experience in dealing directly with government regulatory agencies (SEC, BIR, PEZA, Board of Investments) (Preferred)
  • Exposure to specialized sectors (e.g., FinTech, Technology) is a plus (Preferred but not required)
