Job summary

Newcore Industries International Inc is seeking a Corporate Legal Counsel in the Philippines to provide legal guidance to management and internal departments on corporate, commercial, employment, regulatory, and other business matters.

You will draft and negotiate contracts, review transactions, ensure compliance, conduct legal research, support disputes, and coordinate with external counsel and regulators.

Qualifications

• Must be a licensed lawyer and IBP member.
• At least 3–5 years of relevant corporate law experience.
• Experience in corporate or business environment is preferred.
• Knowledge of corporate law, labor law, commercial contracts, regulatory compliance, and corporate governance.
• Experience in contract drafting, review, negotiation, and legal research.
• Strong analytical, problem-solving, negotiation, and decision-making skills.
• Excellent written and verbal communication skills.
• Ability to work effectively with management and different departments.
• High level of professionalism, discretion, and confidentiality.
• Strong attention to detail and ability to manage multiple legal matters and deadlines.

Responsibilities

• Provide legal advice and guidance to management and internal departments on business and operational matters.
• Draft, review, revise, and negotiate contracts, agreements, and other legal documents.
• Review business transactions and company activities to identify potential legal concerns and recommend appropriate actions.
• Provide guidance on employment and labor-related matters.
• Assist in ensuring compliance with applicable laws, regulations, government requirements, and company policies.
• Conduct legal research and prepare legal opinions, memoranda, and recommendations as needed.
• Assist in handling legal disputes, claims, notices, and other legal matters involving the company.
• Coordinate with external legal counsel, government agencies, regulatory offices, and other relevant parties.
• Monitor relevant changes in laws and regulations and advise management on their potential impact on the company.
• Support the development and implementation of legal and compliance procedures.
• Maintain and organize contracts, legal documents, records, and other confidential files.
• Provide legal support to different departments on contracts, employment concerns, business transactions, and other operational matters.
• Perform other legal-related duties as assigned by management.

Minimum Qualifications

• Must be a licensed Lawyer and a member in good standing of the Integrated Bar of the Philippines (IBP).

• At least five (3) years of relevant experience in corporate law, legal counsel, or a similar role.

• Knowledge of corporate law, labor law, commercial contracts, regulatory compliance, and corporate governance.

• Experience in contract drafting, review, negotiation, and legal research.

• Strong analytical, problem-solving, negotiation, and decision-making skills.
