Private Advertiser seeks a Company Lawyer/In-House Legal Counsel to serve as a strategic advisor across corporate, regulatory, contractual, and risk management matters. You will draft and negotiate contracts, guide compliance, oversee governance, and supervise paralegals while collaborating with internal stakeholders and external counsel.
The role requires a J.D. and Philippine Bar admission, with at least 1 year in corporate or IP law; in-house experience preferred.
The Company Lawyer/In-House Legal Counsel serves as a strategic advisor to the company, providing comprehensive legal support across corporate, regulatory, contractual, compliance, and risk management matters. The role involves drafting and negotiating contracts, guiding regulatory compliance, overseeing corporate governance, managing disputes, and ensuring the protection of the company's interests while upholding ethical and legal standards. The Company Lawyer/In-House Legal Counsel will collaborate with internal stakeholders and external counsel as needed, and shall supervise the paralegals.
Advise on and ensure compliance with applicable laws and regulations relevant to the business (corporate, labor, contract, data protection, AML/KYC, gaming, securities, tax, IP, etc.)
Monitor regulatory developments, assess impact, and implement policy changes
Liaise with government agencies and regulatory bodies
Develop and maintain internal compliance policies, training programs, and controls
Support corporate governance activities, including formation, maintenance of corporate records, board materials, resolutions, and filings
Manage statutory and regulatory filings with relevant agencies; oversee annual reports and company secretarial duties as applicable
Draft, review, negotiate, and approve commercial agreements, licensing, NDAs, service level agreements, partnership agreements, supplier and vendor contracts, and other legal documents
Manage the contract lifecycle from creation to renewal/termination; ensure compliance with terms and obligations; identify and mitigate contract risks
Oversee or coordinate litigation, arbitration, and dispute resolution activities; liaise with external counsel
Manage IP portfolio (trademarks, copyrights, patents) including clearance, registration, maintenance, and enforcement strategies
Juris Doctor (J.D.) degree and admission to the Philippine Bar
At least one (1) year of relevant legal experience in corporate, commercial, regulatory, litigation, and/or intellectual property (IP) law; in-house legal experience is preferred
Working knowledge and experience with corporate governance, board communications, and secretarial duties
Strong legal research, analytical, critical-thinking, and problem-solving skills, with excellent attention to detail
Excellent written and verbal communication, negotiation, and interpersonal skills
Ability to work independently, manage multiple priorities and deadlines, and supervise or provide guidance to junior legal staff
Proficient in legal research tools, legal or document management systems, Microsoft Office, and other relevant legal technology
High level of integrity, professionalism, confidentiality, and sound legal judgment
Strong ability to translate complex legal issues into practical and business-oriented recommendations for management
Willing to work during holidays
Willing to be assigned in multiple office locations
