SINGAPORE FOZL GROUP PTE. LTD is seeking an experienced Corporate Secretarial Assistant Manager/Senior to lead a small team and manage a diverse portfolio of Singapore-incorporated and offshore entities.

Qualifications

  • Bachelor’s Degree in Business, Law, Accountancy, or a related discipline.
  • Professional qualification in ICSA/CSIS is preferred.
  • Minimum 6–8 years of corporate secretarial experience, including at least 2 years in a managerial capacity.
  • Strong knowledge of the Singapore Companies Act, ACRA regulatory framework, and SGX Listing Rules (for listed entities).
  • Proven experience in managing complex corporate transactions, including restructuring, rights issues, fundraising, and related corporate exercises.
  • Strong leadership capabilities with demonstrated experience in team management, mentoring, and talent development.
  • Sound client advisory skills with the ability to engage stakeholders professionally and effectively.

Responsibilities

  • Lead, mentor, and supervise a team of corporate secretarial professionals, providing guidance, training, and performance support to ensure service excellence.
  • Manage a portfolio of private, public-listed, and offshore companies, serving as the primary point of contact for clients.
  • Oversee a full spectrum of corporate secretarial functions, including company incorporation, striking off, share allotments and transfers, capital restructuring, rights issues, corporate restructuring, and the preparation of board and shareholder resolutions.
  • Attend board and shareholder meetings, prepare accurate minutes and resolutions, and ensure timely and accurate statutory filings with ACRA and other relevant authorities.
  • Provide advisory support to clients on corporate governance matters, regulatory compliance, and internal policies and procedures.
  • Drive continuous improvement initiatives, including process optimisation, workflow automation, and effective use of corporate secretarial software systems.
  • Collaborate closely with internal teams, auditors, banks, and legal counsel to support corporate transactions and compliance matters, and manage ad-hoc projects and regulatory reviews as required.
  • Mentor, guide, and develop junior team members to enhance technical competence, professionalism, and overall team capability.

  • Independent, resourceful, and solutions-driven, with a strong client-focused mindset.

  • Proficient or familiar with corporate secretarial and regulatory compliance systems, including BizFile+ and BizFinx, is an advantage.
