TC GROUP LIMITED is seeking a dedicated corporate secretarial professional to manage full lifecycle matters for Singapore clients. You will handle incorporations, filings, board and shareholder resolutions, and maintain registers.
Ideal candidates have 1–3 years in corporate secretarial or services, with strong English and attention to detail. Fresh grads may be considered for training; Mandarin language skills are a plus for Mandarin-speaking clients.
Handle the full spectrum of corporate secretarial matters across the company lifecycle: incorporation, annual filing, Annual Return, AGM/EGM, and striking off
File statutory documents via ACRA BizFile+: changes to directors/shareholders, company name, registered address, share capital (allotment/transfer), and company secretary changes
Draft and prepare board resolutions, shareholder resolutions, notices, minutes of meetings, and constitution‑related documents
Maintain statutory registers, minute books, and client files in compliance with regulatory requirements
Conduct client due diligence: KYC / CDD, AML compliance, and beneficial ownership updates
Liaise with clients, auditors, banks, ACRA, IRAS, and other external/regulatory bodies
Advise clients on the Singapore Companies Act and statutory compliance deadlines
Assist with value‑added services including Employment Pass applications, CorpPass setup, and bank account opening documentation
Handle ad‑hoc compliance and administrative tasks assigned by the supervisor
Diploma or Bachelor's degree in Law, Business Administration, Accounting, Corporate Administration, or Company Secretarial studies (preferred)
1–3 years of experience in Singapore corporate secretarial / corporate services
Fresh graduates with strong English proficiency and attention to detail will be considered for training
Familiar with ACRA, BizFile+, Singapore Companies Act, and Corporate Service Providers Act 2024
Fluent in written and spoken English and Mandarin (to serve Mandarin‑speaking / PRC clients)
Meticulous, able to work under tight deadlines, and capable of managing multiple client portfolios simultaneously
CSIS / ICSA / SAICSA / Chartered Secretary qualifications (in progress or completed) are an advantage
Singapore Citizen or holder of a valid work pass
Proficient in corporate secretarial software such as CAS360 / Artemis
Experience with offshore entities (BVI / Cayman / Hong Kong), VCC, and Family Office structures
