PROTON seeks a Corporate Secretarial Manager to ensure compliance with the Companies Act and CCM guidelines, coordinate board and shareholder meetings, and prepare statutory documentation with meticulous attention to detail. In-house secretarial expertise and familiarity with listed company requirements are highly valued.
The role emphasizes timely filing, documentation, and advisory support between management and the board, with ongoing MAICSA/CCM training participation.
Ensure compliance by the Group with all relevant requirements and regulations including the Constitution, CA, Companies Commission of Malaysia (“CCM”) Guidelines and other relevant Acts/Guidelines in preparing and reviewing the following:
i. Ensure accurate filing of Company’s statutory forms with the CCM in a timely manner.
ii. Coordination of Board of Directors/Board Committees’/Shareholder’s Meetings in compliance with the Constitution that includes overseeing the process, arrangements and logistics including the timely issuance of Notice and Agenda.
iii. Preparation of documentation according to the Act and best practices, including, without limitation, the directors’/committees’/shareholders’ circular resolutions.
iv. Preparation of skeleton Minutes of Board of Directors/Board Committees’/Shareholder’s Meetings in a timely manner.
v. Proper documentation and safekeeping of statutory registers and records of the Group.
2. Ongoing Improvement to Routine Affairs
i. Improvement in statutory updates and filings system.
3. Advisory Function
i. Provide general advisory services on Corporate Secretarial matters to ensure that the Company complies with all requirements under the Act and other related statutory requirements.
ii. Acts as coordinator for communication between the Company Secretary and the officer of the CCM.
i. Attendance to on-going training conducted by MAICSA, CCM and other related professional bodies.
ii. Sharing of technical updates from MAICSA, CCM, legal firms and other related professional bodies.
iii. Sharing of job related information among colleagues.
Education
Bachelor's Degree in Corporate Administration or its equivalent.
Experience
3-7 years of related field experience.
Total Relevant Experience: 4 to 6 years
Preferably a MAICSA member/Licensed Secretary from CCM.
Preferably from automotive industries.
Experience working in an in-house Company Secretarial division.
Experience of working in a public listed company is an added valu
Specific Knowledge/ Skills / Abilities
Managing meetings while making sure that corporate governance compliance is up to date.
Taking in and processing large amounts of information while supporting communications between Management and the Board, etc.

A command of details to ensure that the decision-making and further implementation procedure of the Board and Management is operated correctly, without mistakes or omissions.
Always plan ahead of the deadline.
Possess requisite qualifications pursuant to the listed qualifications in the CA (Companies Act).
