Job summary

Embarkgcc Services is seeking a Commercial Contract Review Associate to support the Client Legal team in reviewing commercial and technology agreements. This hands-on role focuses on redlining and risk assessment rather than drafting or contract administration.

The candidate will review MSAs, SOWs, NDAs, SaaS, and vendor agreements, identify risks, and prepare clear summaries for internal stakeholders. Strong English communication and prior CLM exposure are preferred.

Qualifications

Responsibilities

We are hiring a Commercial Contract Review Associate to support our Client Legal team in reviewing commercial and technology agreements. This is a hands‑on review and redlining role, not a drafting or contract administration role.

Key Responsibilities

• Review and redline commercial and technology contracts clause by clause
• Work on MSAs, SOWs, NDAs, SaaS agreements, vendor agreements, DPAs, amendments and order forms
• Identify risks and deviations from standard contractual positions using established playbooks
• Review key clauses including limitation of liability, indemnification, IP, confidentiality, data privacy, warranties, termination, payment terms, SLA and governing law
• Prepare clear risk summaries and review comments for internal stakeholders
• Coordinate with Legal and Business teams to resolve comments and escape high risk issues
• Manage high volume contract reviews with accuracy and quick turnaround
• Use CLM and legal technology tools to support the review process

Required Skills and Experience

• 2 to 4.5 years of hands on experience in commercial contract review and clause level analysis
• Strong experience in redlining multiple agreement types including MSA, SOW, NDA, SaaS, vendor and DPA
• Working knowledge of contractual playbooks and review guidelines
• Exposure to US UK EMEA or APAC contracts and global stakeholders preferred
• Experience with CLM or legal technology tools is an advantage
• Strong written and verbal English communication skills
• LLB or LLM or equivalent legal qualification preferred
