UPL Limited seeks an experienced corporate lawyer to lead contract management and entity governance across its global operations. You will draft, review, negotiate contracts, provide risk-based legal guidance, and oversee end-to-end lifecycle management with structured repositories and CLM tools.

Qualifications

  • 3–5 years in contract management and global compliance.
  • Experience in contract law, corporate advisory, and M&A due diligence.

  • Excellent writing skills and commercial mindset.
  • Experience on multi-jurisdictional projects is a plus.
  • Process-driven with strong record-keeping.

Responsibilities

Job description

Key Responsibilities :
Contract Review (buy-sell side both):
  • Draft, review, redline, negotiate, and manage a wide range of contracts, ensuring clarity, legal compliance, favourable terms, and timely execution.
  • Be responsible for the endtoend contract lifecycle, including execution, storage, tracking, renewal, and termination through structured repositories and systems.
  • Provide legal advice to internal stakeholders/cross-functional teams on contract interpretation, obligations, risks, and liabilities, while ensuring alignment with business requirements.
  • Identify, assess, and mitigate legal and contractual risks through legal research, compliance checks, and riskmanagement strategies.
Entity Management:
  • Advise on the corporate entity lifecycle, restructuring, and ongoing compliance with local laws, coordinating across jurisdictions.
  • Manage corporate governance and secretarial documentation (shareholder agreements, board resolutions, meeting minutes, filings) ensuring accuracy and accessibility.
  • Ensure statutory, fiduciary, and regulatory compliance of legal entities, including timely filings and risk identification.
  • Maintain centralized, accurate entity data (structure, ownership, governance) and support governance changes and compliance projects.
Corporate Legal:
  • Identify, assess, and mitigate legal risks across business operations, transactions, and strategic initiatives, including M&A activities.
  • Manage transactions, litigation, and dispute resolution, including preparation of transaction documentation and multijurisdictional coordination.
  • Develop, implement, and update legal policies, procedures, and contractual documentation to ensure compliance and risk mitigation.
  • Oversee intellectual property matters and ensure adherence to corporate governance requirements and best practices.
Experience:
Qualifications:
  • At least 3 to 5 years of relevant global and domain expertise in a Contract Management environment;
  • Experience in contract law, corporate advisory, M&A including transaction exposure and due diligence;
  • Experience with legal research databases (Westlaw, LexisNexis, etc.), CLM platform such as SimpliContract, Adobe e-Sign;
  • Excellent writing skills and commercial approach
  • Experience working on multi-jurisdictional projects as a company secretary or part of compliance and governance teams is an advantage;
  • Process-driven, with an understanding of the importance of procedures and corporate record keeping.
  • LLB, LLM Specialization in Contract law / International law, Corporate Law
Competency:
  • Technical Skills: Proficiency in using legal software, ERP systems, and Microsoft Office Suite, Contract Management Tools, Litigation Tools, Corporate Entity Management Tools, and all related processes
  • Communication Skills: Excellent written and verbal .
