Job summary

HCL Technologies Limited is seeking a Legal Counsel to review, draft, negotiate, and manage customer and vendor agreements, mitigating contractual and commercial risks across the contract lifecycle.

The role partners with business stakeholders, handles IT Outsourcing, SaaS, and licensing agreements, and mentors junior lawyers while ensuring compliance and governance.

Qualifications

• Bachelor's Degree in Law (LLB).
• LLM preferred for advanced legal specialization.
• 5+ years in contract management, commercial contracting, or corporate legal roles.
• Proven experience negotiating customer- and vendor-facing agreements.
• Strong drafting, negotiation, stakeholder management and problem-solving skills.

Responsibilities

• Draft, review, negotiate, and finalize customer contracts, vendor agreements, LOIs, NDAs, MSAs, SOWs and other commercial contracts.
• Identify and mitigate contractual, commercial, legal, and operational risks and recommend strategies.
• Provide mark-ups, redlines, and strategic inputs to minimize contract exposure.
• Independently negotiate terms with customers, vendors, and business partners.
• Collaborate with internal stakeholders and external clients to structure and execute agreements.
• Support ongoing contract management activities and obligations.
• Participate in contract discussions with business teams, customers, vendors, and external counsels.
• Ensure contracts comply with laws, regulations, and internal policies.
• Review and manage IT Outsourcing, Technology Services, Software Licensing, Professional Services, and SaaS agreements.
• Assist with contract interpretation, dispute resolution, and escalation matters.
• Maintain contract documentation and support governance programs.
• Mentor junior lawyers on contract review and risk assessment.

Job Description – Legal Counsel (Customer Contracts & Commercial Agreements)

Job Summary

Responsible for reviewing, drafting, negotiating, and managing customer and vendor agreements while identifying and mitigating contractual, commercial, and operational risks. The role involves providing legal support across the contract lifecycle, partnering with business stakeholders, and ensuring organizational interests are protected through effective contract negotiations, risk management, and compliance oversight.

Key Responsibilities

• Draft, review, negotiate, and finalize customer contracts, vendor agreements, Letters of Intent (LOIs), commercial proposals, Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Statements of Work (SOWs), and other commercial contracts.
• Identify contractual, commercial, legal, and operational risks and recommend appropriate mitigation strategies.
• Provide legal mark-ups, redlines, and strategic inputs to protect business interests and minimize contractual exposure.
• Independently negotiate contractual and commercial terms with customers, vendors, and business partners.
• Work closely with internal stakeholders and external clients to structure, prepare, negotiate, and execute commercial agreements.
• Provide legal support for ongoing contract management activities and contractual obligations.
• Participate in contract discussions and negotiations with business teams, customers, vendors, and external legal counsels.
• Ensure contracts comply with applicable laws, regulations, and internal corporate policies.
• Review, negotiate, and manage IT Outsourcing Agreements, Technology Services Agreements, Software Licensing Agreements, Professional Services Agreements, and SaaS Agreements.
• Support contract interpretation, dispute resolution, and contractual escalation matters.
• Maintain contract documentation and support governance and compliance initiatives.
• Mentor and guide junior legal professionals on contract review, negotiation strategies, and risk assessment.
