We are looking for a Commercial Contracts / Contract Review professional to support the Legal team in reviewing and analyzing commercial and technology-related agreements.
This is a review-focused role, requiring strong hands-on experience in clause-level contract review, redlining, risk identification and deviation analysis. The role will work with global stakeholders and apply established contractual guidelines/playbooks to ensure agreements are aligned with business and legal requirements.
Key Responsibilities
- Review and analyse commercial and technology contracts on a clause-by-clause basis.
- Review agreements such as:
- Master Service Agreements (MSAs)
- Statements of Work (SOWs)
- Non-Disclosure Agreements (NDAs)
- Software / technology agreements
- Data Processing Agreements (DPAs)
- Amendments, order forms and related commercial documents
- Perform redlining and contractual risk assessment.
- Identify deviations from standard contractual positions and applicable playbooks/guidelines.
- Assess key provisions including:
- Limitation of liability
- Warranties
- Governing law and dispute resolution
- Highlight contractual risks, gaps and non-standard provisions for internal stakeholders.
- Provide clear review comments, risk summaries and recommendations.
- Ensure consistency with approved contractual standards and internal policies.
- Coordinate with Legal, Business and other internal stakeholders to resolve review comments and obtain necessary approvals/escalations.
- Maintain high accuracy and turnaround time while handling multiple agreements/high-volume contract reviews.
- Use contract lifecycle management and legal technology tools to support the review process.
Requirements
- 4.5 –8 years of relevant experience in commercial contract review, contract analysis or legal contract services.
- Strong hands-on experience in contract review and redlining.
- Experience reviewing multiple commercial agreement types, particularly MSA, SOW, NDA, SaaS, vendor, technology and DPA agreements.
- Strong understanding of contractual clauses and commercial/legal risks.
- Experience working with contractual playbooks, review guidelines or standard templates.
- Exposure to US/UK/EMEA/APAC contracts or global stakeholders preferred.
- Experience with CLM/legal technology tools is an advantage.
- Strong written and verbal English communication skills.
- Excellent attention to detail and ability to identify contractual deviations and risks.
