Jobgether is seeking a Senior Corporate Counsel based in France to shape corporate strategy for a globally distributed technology business. You will lead complex corporate, securities, M&A, and governance matters while advising stakeholders on critical business decisions.

Qualifications

• JD from a US-accredited law school and admission to practice in a US state are required.
• Strong securities law, corporate governance, and private-company transaction expertise.
• Experience managing international subsidiaries and complex corporate deals (financing, M&A, equity).
• Knowledge of IP, software licensing, open-source licensing, and cross-border regulatory issues.

Responsibilities

• Lead global securities law compliance and corporate governance for a late-stage private company.
• Oversee international subsidiary structure, board meetings, records, and intercompany agreements.
• Support board governance by preparing materials and documenting decisions.
• Manage employee equity programs and stock transactions.
• Lead fundraising, M&A, financing, and strategic transactions with risk management and compliance.
