Jobtailor is seeking a corporate/M&A lawyer to structure and lead a range of transactions in France, including incorporations, restructurings, and mergers. You will draft key documents and manage governance for the Group's French entities, coordinating with external counsel as needed.

Qualifications

Master 2 or DJCE required; business school or IEP optional to complement qualification.
3–4 years of solid experience in Corporate/M&A in a law firm or in-house.
Strong awareness of tax, finance and accounting matters.

Responsabilités

Structure and lead corporate transactions including M&A, incorporations, restructurings, capital contributions, de-mergers, and mergers.
Draft and negotiate intragroup documents such as share transfer agreements and service agreements.
Ensure proper governance of the Group's French entities: organize board meetings, draft minutes, approve accounts and govern changes.
Coordinate and supervise external counsel and local lawyers in routine transactions.
Provide pragmatic corporate law advice to operational teams.
Support monitoring of partnerships and joint ventures, including drafting and renegotiating put/call mechanisms.
