Overview

We are seeking an experienced Corporate, Commercial & Real Estate Lawyer to join our legal practice. The ideal candidate will have a strong background in real estate development, commercial leasing, financing transactions, and corporate structuring. You will work directly with lenders, developers, borrowers, landlords, and tenants to provide comprehensive legal services that mitigate risks, ensure compliance, and support clients in achieving their business objectives.

This role requires a strong ability to manage complex transactions, negotiate agreements, and build long-term client relationships. The successful candidate will contribute to the continued growth of the firm’s real estate and corporate practice through exceptional legal expertise and client service.

Base pay range 100,000.00 / yr - $120,000.00 / yr

Responsibilities
  • Represent financial institutions, private lenders, developers, and borrowers in complex loan transactions, acquisitions, and structured financings.
  • Advise real estate developers on project structuring, land acquisitions, construction agreements, and regulatory compliance.
  • Draft and negotiate agreements of purchase and sale, commitment letters, joint venture agreements, partnership agreements, and shareholder agreements.
  • Provide legal guidance on commercial leasing matters, including drafting, negotiating, and amending leases for retail, office, and industrial properties (5,000 – 200,000+ sq. ft).
  • Assist clients with title upgrading (LTCQ to LT+), lender compliance matters, and regulatory shifts (e.g., CDOR to CORRA transition).
  • Conduct due diligence reviews for acquisitions and financing transactions, including title, environmental, and regulatory assessments.
  • Collaborate with surveyors, engineers, and municipal authorities to support transaction closings and compliance requirements.
  • Provide strategic legal advice on corporate and commercial law matters, including co-ownership and investment structures.
  • Manage client relationships, ensuring repeat business, referrals, and ongoing growth of the firm’s practice.
  • Stay current with changes in legislation and case law impacting real estate, leasing, and commercial transactions.
Qualifications
  • Law degree (LL.B. or J.D.) and active membership in good standing with the Law Society of Ontario (LSO).
  • 5+ years of experience practicing corporate, commercial, and real estate law.
  • Proven experience advising on complex real estate development projects, financings, and leasing transactions.
  • Strong drafting and negotiation skills with the ability to handle high-value, multi-stakeholder deals.
  • Experience with commercial leasing (retail, office, industrial, mixed-use) and landlord/tenant negotiations.
  • Familiarity with title upgrading, lender compliance, and regulatory frameworks affecting financing.
  • Excellent communication, interpersonal, and client management skills.
  • Ability to work independently while collaborating with external professionals and internal teams.
  • Business development mindset with a track record of building and maintaining a book of business is an asset.
