Department Overview

The TD Legal Corporate & Subsidiary Governance (CSG) Team contributes to TD's compliance with regulatory obligations and best practices in corporate governance. In this Law Clerk, Governance role, you will join a dynamic and collegial team of legal professionals on the CSG Team which manages a wide range of corporate governance and corporate secretarial activities and other strategic initiatives designed to help ensure proper risk and control oversight of TD's subsidiaries.

Based in Toronto, the Law Clerk, Governance role provides dedicated law clerk support to the team's lawyers and managers and works with other team members to help manage the corporate secretarial matters and processes relating to the Bank's Board and Committees of the Board, Annual Meeting of Shareholders and other related meetings and governance matters. The role provides an opportunity for exposure to stakeholders and leaders both within TD Legal and across the enterprise.

Key Responsibilities
  • Sending meeting notices and alerts to Committee members.
  • Help prepare Committee meeting agendas.
  • Coordinate with various stakeholders to obtain Committee meeting materials.
  • Prepare meeting Minutes shells.
  • Coordinate and execute meeting day logistics and management.
  • Maintain Minutes Books, other records, trackers and task list of Committees.
  • Prepare, organize and catalogue memos, notices and other documentation as required.
  • Efficiently use Diligent to post Committee meeting materials and send related communication to directors.
  • Perform post Committee meeting activities including redactions and filing to OSFI.
  • Perform any other tasks that may be required in relation to the Committee's meetings and operations.
Job Requirements
  • Practical knowledge of corporate secretarial regulatory requirements and "best practices".

  • Excellent verbal and written communication skills, with ability to tailor messaging to the audience.

  • Ability to remain resilient under pressure in a fast‑paced environment, while managing multiple priorities.
  • Ability to exercise discretion when handling sensitive and confidential matters.
  • Proficient in Microsoft Office and familiarity with Diligent portal functionality as an asset.
Additional Information
  • Minimum 3‑5 years' experience in a related role (e.g., corporate secretarial) at a major financial institution or public Canadian company as an asset.
  • Education - Law Clerk designation as an asset.
  • Occasional overtime is required.
  • Knowledge of legal concepts, principles, terminology, and corporate procedures.
  • Experience with GEMS (or similar entity management system) is an asset.
  • Experience with Diligent (or similar Directors Portal) is an asset.
  • Proficient in software applications (i.e. Word, Excel, Adobe, and Outlook); familiarity with TeamConnect is an asset.
  • Ability to identify and focus on high value work.
  • Ability to work independently and as a member of a team.
  • Highly organized with an eye for detail and accuracy.
  • Ability to exercise discretion when handling sensitive and confidential matters.
