Job summary

A consultancy firm in Dubai seeks a Governance Manager responsible for maintaining company filings and ensuring compliance with UAE laws. The ideal candidate has 4-5 years of experience in governance roles, a strong understanding of UAE corporate laws, and will liaise with both clients and government authorities.

Qualifications

  • 4-5 years experience in a similar governance role.
  • Sound understanding of UAE Company Governing laws.
  • In-depth knowledge of Corporate and Commercial Laws and regulations in the UAE.

  • Prepare AGM, EGM, and Board Resolution in coordination with directors.
  • Liaise with clients and U.A.E Government authorities.

Responsibilities
  • Execute and maintain all required company-related filings, documents, reports and records according to applicable laws and regulations in the U.A.E.
  • Preparation of the AGM, EGM, Board Resolution, etc. in close coordination with directors and/or members for necessary approvals/consents.
  • Filing with Government authorities on the changes (shares, change of officers, address, etc.).
  • Liaising with the clients and U.A.E Government authorities.
  • Amendments to the Company’s M&A and share certificates.
  • Planning and organizing the Annual General Meeting of the members and any special members and extraordinary meetings that may be held.
  • Ensuring the integrity of the governance framework, being responsible for the efficient administration of a company, ensuring compliance with statutory and regulatory requirements, and implementing decisions made by the Board of Directors.
  • Advising clients on business incorporation compliance and requirements.
  • Incorporation of onshore and offshore company formation in accordance with U.A.E regulations.
  • Client onboarding and ongoing clients' due diligence process and matters.
  • Ensure timely upkeep, update, and maintenance of statutory registers and records according to regulatory requirements.
  • Take the lead on ad-hoc duties and projects.
  • Be the key governance point of contact for all Board and Committee members.
Requirements
  • 4-5 years experience in a similar governance role (Company Secretary, board advisor, Governance manager) within a diverse, large group of companies or within a consulting firm.
  • Sound understanding of UAE Company Governing laws.
  • Possess in-depth knowledge of Corporate and Commercial Laws and regulations in the UAE.
