Job summary

Placements24 in George, Western Cape is seeking a Corporate Governance Specialist to advise the board and senior management on governance, risk management and internal controls. You will lead the development of governance frameworks, ensure regulatory compliance, organize board meetings and report on governance effectiveness.

The role requires strong knowledge of SA corporate law, King IV, and stakeholder communication in a financial services environment.

Qualifications

• Minimum 5 years of experience in corporate governance, compliance, or company secretarial roles.
• In-depth knowledge of South African corporate law, King IV, and Companies Act.
• Experience in preparing board minutes and governance reports.
• Strong understanding of risk management frameworks and internal controls.

Responsibilities

• Develop, implement, and maintain the company's corporate governance framework, policies, and procedures.
• Advise the board, committees, and management on governance best practices and regulatory requirements.
• Ensure compliance with relevant laws and listing requirements.
• Organize and manage board and committee meetings, including agendas, minutes and action items.
• Oversee statutory obligations such as annual returns and director disclosures.
• Conduct regular governance reviews and audits to identify improvements.
• Support shareholder relations and effective communication.
• Provide training to directors and employees on governance principles.
