Qualifications

• Bachelor’s degree in Law, Commerce, or related field required.
• Minimum 5 years in corporate governance, legal, or compliance roles, preferably in financial services.
• Strong knowledge of Companies Act, King IV Code, and SA regulatory landscape.
• Understanding of risk management frameworks and internal controls.
• Excellent board secretarial and communication skills.
• High attention to detail and ability to work independently.

Responsibilities

• Advise the Board of Directors and senior management on governance best practices and regulatory requirements.
• Develop, implement, and maintain corporate governance policies and procedures.
• Ensure compliance with the Companies Act, King IV Code, and other legislation.
• Manage board and committee meeting logistics, agendas, minutes, and documentation.
• Oversee compliance programs, risk assessments, and internal controls.
• Monitor legislative changes and advise on impact.
• Assist in preparing the integrated annual report governance section.
• Conduct governance training for directors and staff.
• Manage stakeholder relations and governance communications with shareholders.
