Job summary

CoreSite is seeking a Vice President and Assistant General Counsel, Mergers & Acquisitions (Finance) to spearhead the legal aspects of strategic transactions involving data center assets. You will lead structuring, drafting, and negotiations for transactions and report to the SVP & General Counsel.

The ideal candidate has 5+ years in M&A, a JD, active U.S. bar, and a proven record of leading deals above $100M. Hybrid work with on-site presence and travel as needed.

Qualifications

• JD from an accredited law school.
• Active membership in at least one U.S. state bar.
• 5+ years of legal experience in M&A and corporate transactions.
• Major law firm M&A practice experience preferred.
• Significant experience leading transactions valued above $100 million.
• Experience with private equity, REITs, technology, or digital infrastructure preferred.
• Data center/telecommunications/tech sector experience preferred.

Responsibilities

• Lead all legal aspects of acquisitions, mergers, and strategic transactions.
• Structure and negotiate purchase, merger, JV, and investment agreements.
• Lead due diligence and risk assessments for transactions.
• Advise leadership on structure, diligence outcomes, and post-closing obligations.
• Coordinate outside counsel and cross-functional stakeholders through closing.
• Negotiate major leases and telecom licenses; review drafts from other department members.
• Manage outside counsel on litigation matters and strategy.
• Analyze disputes with contractors, vendors, and third parties.
