JPMorganChase & Co. in Chicago is seeking a Vice President, Assistant General Counsel to support the Asset Management Americas Institutional team, focusing on private funds formation and ongoing fund governance.

You will draft, review and negotiate investment management agreements and side letters, provide distribution guidance, supervise outside counsel, and collaborate with compliance, risk and product teams. A JD and 5+ years in investment management law are required.

Qualifications

• Juris Doctor degree.
• Minimum of 5 years of relevant law firm experience.
• Private funds experience, including fund formation and lifecycle events.
• Experience negotiating side letters and other investor terms.
• Knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory matters.
• Knowledge of relevant laws (for example, the Investment Advisers Act).
• Demonstrated legal analytical, drafting and negotiation skills.
• Demonstrated strong interpersonal, communication (verbal and written), and organizational skills, with proven ability to serve as a trusted advisor to business partners or clients.
• Proven ability to work independently, prioritize multiple projects, and manage competing deadlines effectively.
• Proactive, responsive, and dynamic team player with a solutions-oriented mindset and strong judgment.
• Knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934 in relevant contexts.

Responsibilities

• Provide legal advice and counsel to the Asset Management Americas Institutional business across a broad range of institutional products and client matters, including private funds, equities and separately managed accounts, as business priorities evolve.
• Provide legal support and advice regarding private funds, separately managed account mandates, funds-of-one, sub-advisory arrangements and other products and solutions.
• Advise the business on a wide range of legal and regulatory issues relevant to the formation, structuring and management of investment products, including drafting, reviewing and negotiating investment management agreements, side letters and other contracts.
• Provide distribution-related legal support for institutional asset management products, including partnering with stakeholders on product positioning, regulatory considerations and client communications as appropriate.
• Work closely with other members of the Legal Department and other control functions (for example, compliance and risk) to identify, elevate and resolve issues, including coordination across regions as needed.
• Participate in business committees and collaborate with colleagues across product strategy and development, finance, marketing, portfolio management, compliance, risk and the Legal Department.
• Oversee and manage outside counsel efficiently, including engagement scope, spend management and quality control.
• Coordinate as needed with other divisions within Asset and Wealth Management.
• Provide legal support for institutional client diligence, including due diligence questionnaires and responses to requests for proposal.
• Provide legal support for special projects and cross-business initiatives, including providing coverage outside core product areas as needed.
• Perform additional duties as assigned to ensure high-quality legal support for the business.
