Qualifications

• Juris Doctor degree required.
• Minimum of 5 years of relevant law firm experience.
• Private funds experience, including fund formation and lifecycle events.
• Experience negotiating side letters and investor terms.
• Knowledge of investment management legal issues and related regulations.
• Understanding of the Investment Advisers Act and related laws.
• Strong drafting, analytical and negotiation skills.
• Excellent interpersonal and communication skills.

Responsibilities

• Provide legal advice to the Asset Management Americas Institutional business across funds, accounts and related products.
• Support fund formation, structure and management including client contracts and side letters.
• Draft, review and negotiate investment management agreements and other contracts.
• Provide distribution-related legal support for institutional products and client communications.
• Coordinate with compliance, risk and other control functions across regions.
• Oversee outside counsel engagement and spend, ensuring quality and efficiency.
• Collaborate with product strategy, finance, marketing and legal teams on initiatives.
• Assist with due diligence questionnaires and responses for institutional clients.
