Job summary

JPMorganChase in Chicago seeks a Vice President, Assistant General Counsel for the Asset Management Americas Institutional team to advise on private funds, funds formation, and related regulatory matters for institutional clients.

You will partner with compliance, risk, and product teams to structure investments, draft and negotiate agreements, and support distribution and client diligence while guiding strategic business initiatives.

Qualifications

Juris Doctor degree required.
Minimum of 5 years of relevant law firm experience.
Private funds experience including fund formation.
Experience negotiating side letters and investor terms.
Knowledge of investment management laws, including the Advisers Act.
Knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
Strong analytical, drafting and negotiation skills.
Excellent interpersonal, communication and organizational abilities.

Responsibilities

Provide legal counsel to the Asset Management Americas Institutional business across private funds and products.
Support fund formation, side letters, and contracts.
Advise on investment management agreements and distribution matters.
Coordinate with compliance, risk and other control functions.
Oversee outside counsel and manage engagements and budgets.
Assist with cross-divisional initiatives and due diligence.
