Job summary

JPMorgan Chase & Co. seeks a Vice President, Assistant General Counsel to lead legal support for the Asset Management Americas Institutional team.

This role focuses on OCC‑regulated funds and institutional client matters, spanning fund formation, contract negotiations and regulatory compliance. You will negotiate investment management agreements and side letters, advise on distribution and product strategies, and coordinate with Compliance, Risk and cross‑regional teams to mitigate risk while

Qualifications

• Juris Doctor degree is required.
• Minimum of 5 years of relevant law firm experience.
• Experience negotiating side letters and investor terms.
• Knowledge of investment management legal issues and regulations.
• Knowledge of the Investment Advisers Act.
• Strong analytical, drafting and negotiation skills.
• Excellent interpersonal, verbal and written communication skills.
• Ability to work independently, prioritize multiple projects and meet deadlines.
• Proactive, responsive, and solutions-oriented team player.

Responsibilities

• Provide legal advice to the Asset Management Americas Institutional business on funds and client matters.
• Support funds, separately managed accounts, sub-advisory arrangements and related products.
• Draft, review and negotiate investment management agreements and side letters.
• Provide distribution-related legal support for institutional products and client communications.
• Coordinate with Compliance and Risk, and collaborate across regions as needed.
• Participate in business committees and cross-functional initiatives.
• Oversee outside counsel engagement, scope, spend and quality control.
• Coordinate with other Asset and Wealth Management divisions as required.
• Support institutional diligence responses and requests for proposals.
• Assist with special projects and high-quality legal support for the business.
