A leading AmLaw 50 firm in San Francisco seeks an experienced Technology Transactions Associate Attorney to work on high‑impact IP and technology transactions for global clients.

You will draft, review and negotiate licensing, development, services, distribution, manufacturing and collaboration agreements, and advise on IP aspects of M&A and equity financing.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active California Bar admission, in good standing.
• 3–6 years of substantive IP and commercial transactions experience.
• Experience structuring, drafting, and negotiating complex IP and technology agreements.
• Experience handling IP aspects of M&A and equity financing transactions.
• Technical background preferred (science/engineering).

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing, development, services, distribution, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A and equity financing.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
